Following meetings of the standing committees of the Board of Visitors of the University of Virginia, the Board met as the full Board in open session at 1:15 p.m. on Friday, March 3, 2023. Whittington W. Clement, Rector, presided. Open session was streamed live.

The Rector called the meeting to order and led the Visitors in the Pledge of Allegiance. Mr. Clement then made a short statement about a recent article in the Washington Post on text messages sent among members of the Board. He said the messages create a negative and inaccurate portrayal of the University as a place where disparagement comes before civil discourse and mutual respect. He denied that he ever made disparaging comments about the Finance department; he has great respect for their work and for the work of other employees at the University. He asked the Visitors to set an example for our students, staff, and faculty.

Mr. DePasquale added some thoughts about the strength of the Board as a collective body—each member has one voice and one vote. There is a huge opportunity for advancing the University as a Visitor. The largest disconnect for a Visitor is getting the job as a member of the Board confused with the administration’s jobs.

Mr. Ellis then apologized for the texts; he said they were private and confidential messages that were still out of place.

The Rector then moved on to the published agenda. On motion, duly seconded, the minutes of the December 8-9, 2022 meeting of the Board of Visitors were approved:

Action Items


Rector Clement reviewed the first three action items and said President Ryan would say more about the fourth. Ms. Pillion read the memorial resolution for Don Pippin, Mr. Payne read the memorial resolution for Virginia Rogers Holton, and Ms. Cranwell read the resolution for student representative Lily Roberts. On motion, duly seconded, the following resolutions were approved:


MEMORIAL RESOLUTION FOR DON R. PIPPIIN


WHEREAS, Don R. Pippin, a native of Coeburn, Virginia, attended Clinch Valley College (later named The University of Virginia’s College at Wise) from 1957-1958 where he took a Certificate in English Language and Literature before transferring to the University of Virginia, where he took a Bachelor of Arts in the College of Arts & Sciences in 1960 and a Juris Doctor from the School of Law in 1963; and


WHEREAS, Mr. Pippin was a strong and steadfast advocate for the College at Wise. As a student he travelled to Richmond to speak before the General Assembly to successfully advocate for funding a new gymnasium for the College, which was later named the Fred B. Greear Gymnasium; and


WHEREAS, as a student at the University, Don Pippin lived on the Lawn. He continued his advocacy for the Southwest Virginia region and assisted other students from the region to become successful and valued members of the University community; and


WHEREAS, Mr. Pippin had a successful and busy law practice in Wise County, but he was always ready to assist the College at Wise. He wrote the Articles of Incorporation for, and was a founding Board of Directors member of, the Clinch Valley College Alumni Association, serving as President in 1964-1965; and


WHEREAS, Mr. Pippin served with great distinction on the College at Wise Board, the College at Wise Foundation Board, and the Alumni Association Board during a time when the College constructed several new buildings and renovated others, added a software engineering program, and strengthened its relationship with the University; and


WHEREAS, Mr. Pippin was appointed to the Board of Visitors in 2002 by Governor Warner and was reappointed in 2006 to a second term by Governor Kaine. He chaired the Board’s Committee on the College at Wise among other activities; and


WHEREAS, Mr. Pippin was beloved by many because of his warm demeanor and “country lawyer” manner, as well as his jokes and stories; and


WHEREAS, Mr. Pippin was recognized as the College at Wise’s Volunteer of the Year in 1999; and


WHEREAS, Mr. Pippin’s wife, Gloria R. “Gigi” Pippin and his son, F. Scott Pippin, have been major supporters and cheerleaders for the College at Wise as well; and


WHEREAS, in addition to devoting his time and talent to the College at Wise, Mr. Pippin also donated to many transformational projects, including scholarships, most notably the Hallie and Wanda Pippin Scholarship, named after his parents; and


WHEREAS, Don R. Pippin has inspired, encouraged, and persuaded many individuals, the General Assembly, and businesses throughout the Commonwealth of Virginia, to support the College at Wise and the Southwest Virginia region; and


WHEREAS, in 2021 the College at Wise renamed Wyllie Hall as Don R. Pippin and John C. Wyllie Hall to express its deep gratitude to Mr. Pippin for all that he accomplished on behalf of the College;


RESOLVED, the members of the Board of Visitors commend the life and devoted service of Don R. Pippin, mourn his passing, and express their deepest condolences to Gigi and Scott Pippin and his many friends and colleagues.

MEMORIAL RESOLUTION FOR VIRGINIA ROGERS HOLTON


WHEREAS, Virginia Rogers “Jinks” Holton, a native of Roanoke, Virginia, took a degree from Wellesley College in 1946 and worked in Belgium following World War II. She moved to Washington, D.C. to work for the C.I.A. as an intelligence analyst. On a visit to family in Roanoke, she met her future husband, Governor Linwood Holton of Big Stone Gap. They married in 1953; and


WHEREAS, Mrs. Holton was very active in Virginia politics and the Republican party. She was an advocate for improving the lives of children in Virginia, which led to her involvement in initiatives including founding Voices for Virginia’s Children and the Northern Neck Appointed Special Advocates; and


WHEREAS, Mrs. Holton and her husband were leaders in supporting racial integration of the schools, and took a public stand against segregation by choosing to enroll their middle and high school children in predominantly Black schools in Richmond; and


WHEREAS, Mrs. Holton enjoyed the outdoors and sports, and served as president of the Virginia Environmental Endowment and as a member of the board of the Chesapeake Bay Foundation. She played tennis and later pickleball, and loved to ski; and


WHEREAS, in her later years, she volunteered for Habitat for Humanity, helping to build homes in Virginia and around the world; and


WHEREAS, Virginia Rogers Holton served the University as a member of the Board of Visitors from 1974 to 1982, and as a trustee of the Medical School Foundation; and


WHEREAS, Mrs. Holton will be remembered for her selfless work to better the lives of children and families in the Commonwealth, both in her role as first lady and by dedicating her time and talent to many worthy initiatives and organizations; and


WHEREAS, Mrs. Holton passed away on December 16, 2022 at the age of 97;


RESOLVED, the members of the Board of Visitors commend the life and devoted service of Virginia Rogers Holton, mourn her passing, and express their deepest condolences to her children and their spouses, her grandchildren, great grandchildren, and her many friends.

COMMENDING RESOLUTION FOR LILY A. ROBERTS


WHEREAS, Lily A. Roberts of Williamsburg, Virginia is a fourth year in the School of Architecture, pursuing a Distinguished Major in Urban + Environmental Planning, and minors in Architectural History, Dance, and Design, who will graduate in May 2023; and


WHEREAS, Ms. Roberts serves as a Senior Resident in Housing and Residence Life, overseeing an upper class housing association of over 200 students; is a Class of 2023 Meriwether Lewis Institute for Citizen Engagement fellow; serves on the executive committee of the UVA Chapter of the National Organization of Minority Architecture Students; and serves as a Student Ambassador for the School of Architecture’s admissions office, engaging with prospective and admitted undergraduate and graduate students; and


WHEREAS, Ms. Roberts is a member of St. Paul’s Memorial Church’s student ministry, The University Fellowship, and is the recipient of the James H. Skinner Scholarship and a University Achievement Award as well as on the Dean’s List; and


WHEREAS, as student representative to the Board of Visitors for 2022-2023, Ms. Roberts has helped to inform the Board of student perspectives on a number of timely and important issues including undergraduate advising structure and programs; diversity and inclusion initiatives; safety; enrollment policies; and student engagement; and


WHEREAS, Ms. Roberts’ calm demeanor and tireless work centered around student assistance and healing after the tragic shooting of five students was noted and appreciated by Visitors and the University administration;


RESOLVED, the members of the Board of Visitors commend Lily Roberts for her devoted service to the Board and the University, respect her as a valued colleague, and wish her every success and happiness in her future endeavors.

Discussion with University Leadership


Mr. Ryan thanked Ms. Lily Roberts for her work with the Board, and then launched into his agenda.


He said he thought he would use the time to continue a format that has worked well, which is to share some good news that might be a little under the radar, followed by a challenge the University is facing, and finally to offer an item for discussion and feedback.

The Good News

Recently a UVA Today story announced that the U.S. Department of State named UVA as a Fulbright U.S. Student Program Top Producing Institution for the 2022-23 academic year, which for doctoral-granting institutions means 10 or more awards offered. The Fulbright is a competitive and prestigious award that sends recipients abroad to work, study, and become immersed in their host country. In 2020, UVA had 22 recipients, which was the most among publics. In 2022-23, UVA had 18, which was the second most among publics, one behind Rutgers.

In 2022-23, 18 UVA students were offered Fulbright awards, and 15 accepted the award. They are visiting countries such as Mexico, Spain, France, Ivory Coast, Jordan, Thailand, South Korea, Vietnam, Taiwan, and the Philippines.

Since 2014, UVA has had at least 10 students receive the Fulbright in all but two of those years. By comparison, between1946 and 2014, we had 10 students receive the Fulbright in only one year.

As impressive as UVA’s record on the Fulbright is, it’s just part of the incredible growth of prestigious awards on Grounds. He introduced Andrus Ashoo, director of UVA’s Office of Citizen Scholar Development, who has been at UVA since 2014 and deserves a great deal of credit for his oversight of this program. Mr. Ashoo has also recently taken on oversight of the undergraduate research program, and the Office of Citizen Scholar Development is in the process of becoming the home to both. Over the past nine years, student participation has increased four-fold, and now more than 1200 students participate in the fellowship process, including students at UVA Wise.

President Ryan spoke about the Rhodes Scholarship, which is perhaps the most prestigious award that can be granted to students. It involves a fully funded, full time, postgraduate award which brings young people from around the world to study at Oxford.

UVA has had 54 Rhodes Scholars. Excluding the service academies, UVA has the highest number of recipients among public institutions in the U.S. since the scholarship started in 1902. This is not just an historical artifact, as UVA has had the highest number of awards in the last 5 years, and in the last 10 years. UVA is currently 10th among all universities, public and private.

The Marshall Scholarship provides the opportunity to study at the graduate level at a U.K. institution in any field of study. Since 2014, UVA has doubled the number of its Marshall Scholars from 8 to 16. These are great opportunities for students and demonstrate how our talented staff supports them through the process.

A Challenge UVA is Facing

The increase in gun violence in the City of Charlottesville is at the top of many people’s minds. Nationally and locally, law enforcement has seen an increase in violence, especially gun violence. UVA houses more than 7,000 students on Grounds, but most students live off Grounds, so it is critical to work with local agencies in addressing the problem. No matter where students live, creating a safe and secure environment in which to live, learn, and work is the administration’s priority. 

Mr. Ryan gave some examples of initiatives:

Chief of Police Tim Longo and EVP and Chief Operating Officer J.J. Davis expanded on local and University initiatives to prevent gun violence, working with the City of Charlottesville and Albemarle County.





Item for Feedback

Mr. Ryan then shared an item for feedback: the Council of Presidents Statement on Free Expression. He gave a recap of how UVA’s Statement of the Committee on Free Inquiry and Free Expression came about, as a reminder to members of the Board.

He said given a strong discourse on Grounds about free expression in the classroom and as it relates to visitors to Grounds, and given the centrality of free expression and inquiry to the academic mission, in January 2021 he decided to form a committee that would set forward a strong and clear articulation of UVA’s values when it came to following truth, wherever it may lead. The Committee was remarkably impressive, accomplished, and diverse--in every sense of that term. Members were intentionally selected to ensure the widest possible range of viewpoints, as well as representation from the Board of Visitors, students, faculty, staff, and alumni. Leslie Kendrick, vice dean of UVA’s School of Law and director of the Center for the First Amendment at UVA Law, is a renowned expert on the First Amendment and free speech and chaired the committee. The final statement was decided upon after much debate but received a unanimous endorsement from the Committee, and it was approved by the Board of Visitors in June 2021.

He said Governor Youngkin made free speech on college campuses a priority of his when he came into office in 2022. That April, he met with the Council of Presidents (COP) and asked the group to draft their own statement on free expression that would apply to all institutions of higher education in Virginia. A working group was formed by then Council of Presidents chair, Makola Abdullah of Virginia State University, to make a recommendation to the full COP for a response to the Governor’s request. Mr. Ryan was part of that group, and they produced a final statement that the Governor has now asked to have approved by the boards of visitors. President Ryan asked the Visitors to provide any ideas they may have along these lines, and a lively discussion ensued followed by unanimous approval of the resolution endorsing the Council of Presidents’ statement.

STATEMENT ON FREE SPEECH


WHEREAS, the Council of Presidents, at the Governor’s encouragement, formulated a statement expressing their collective commitment to promoting and protecting free speech;


RESOLVED, the Board of Visitors endorses the Statement on Free Speech articulated by the Council of Presidents. This statement is consistent with, and supports, the University’s Statement of the Committee on Free Expression and Free Inquiry endorsed by the Board in June 2021.


Council of Presidents Statement on Free Speech


As presidents of Virginia’s public colleges and universities, we unequivocally support free expression and viewpoint diversity on our campuses. Free expression is the fundamental basis for both academic freedom and for effective teaching and learning inside and outside the classroom. Our member universities and colleges are bound to uphold the First Amendment. We are committed to promoting this constitutional freedom through robust statements and policies that are formulated through shared governance processes and through actions that reflect and reinforce this core foundation of education. We value a scholarly environment that is supported by a diversity of research and intellectual perspectives among our faculty and staff. We pledge to promote and uphold inclusivity, academic freedom, free expression, and an environment that promotes civil discourse across differences. We will protect these principles when others seek to restrict them.

Remarks by the Rector


The Rector commented on the resilience of the community and the hard work put in by so many following the tragedy in November. The efforts to help students, faculty and staff heal, and to review everything with an eye to making processes better, has not gone unnoticed.


Mr. Clement suggested that those on the Board who have not had a chance to sit in on a class should do so. Faculty should be notified in advance of attending. He said he was certain faculty will welcome their presence.


He spoke briefly about the vice rector election that is part of the June meeting every two years. He asked that he and Mr. Hardie be notified by April 15 of any candidacy and for members to refrain from actively discussing with other members until after that date. He said the established practice for selecting a vice rector is for the board to meet in closed session in June to consider the candidates with a final vote in open session. The June closed session also includes an evaluation of the president as well as other issues, so he hoped the process for vice rector selection would be efficient. All members of the Board may run except those who will complete their second term on the Board this year. Members who will be eligible for reappointment to a second term within the next four years are eligible to run for vice rector.

Mr. Clement remarked that this is Lily Roberts’ last regular meeting as student representative, and he thanked her for her work this year. He asked Ms. Roberts to give remarks.


Remarks by the Student Representative


Ms. Lily Roberts’ comments are reproduced verbatim:

Thank you, Mr. Rector,

I have found recently that observation, mainly walking around grounds, speaking to passersby, and overhearing conversations, has aided me greatly in gauging student sentiments. Overwhelmingly, I can tell you this—the unexpectedly nice weather has been a welcomed opportunity to connect with one another in outdoor spaces as we continue to heal from a challenging fall semester. If you have not been in Charlottesville recently, it has been especially warm outside—I think we had one day in the low 80s last week. Seeing students coming from different experiences around the Lawn, walking to and from classes, taking a short nap in between classes, or sharing a quick meal with a friend has been so lovely to see.

In most of my conversations with students, a main priority I hope to work with you all on and hand off to my successor is addressing ever-increasing concerns around our community’s safety. Though I represent students in my remarks, it is important to recognize that safety in our geographical area extends far beyond the concern of just students. With increasing frequency, we receive community alerts concerning aggravated assaults and other incidents near Grounds which often reminds us of the twelve hours of lockdown and uncertainty we experienced in November. It is a re-traumatization that only adds to the complexity of our journey toward healing in this community.

Safety, both physical and psychological, related to gun violence, is a wicked problem in American society. As we embark on addressing this issue, I hope that we may realize this: there are no quick solutions unfortunately, but we can play to the strengths of our community—our researchers, our health system, and the diverse experiences of our community members—to create a collaborative, interdisciplinary approach to addressing physical and psychological safety moving forward.

As we work toward addressing safety in our community, as is the goal of our beloved institution, we have a charge to share our approaches broadly. I saw our community begin to share the lessons we learned from the aftermath of our tragedy with Michigan State University students who experienced the loss of three students and a similar lockdown, on the three-month anniversary here. I thank our administrators, students and all community members who provided their support to MSU.

It is quite hard to believe that this is the final meeting of my term. Just as I’ve started to get accustomed to the flow of these meetings, my time has come to an end. I have thoroughly enjoyed seeing Thomas Jefferson’s vision of lifelong learning put into practice in this space. It has been great to be in this space with all of you coming from diverse backgrounds and viewpoints and engaging in dialogue. Of course, Academic and Student Life is among my favorite committees, Buildings and Grounds is the unexpected place I saw this vision come alive—from discussing the smokestack on the Corner, to red brick, to the beloved, soon-to-be former communications shed.

It is even harder to believe that the class of 2023 is about 80 days from Final Exercises. I won’t tear up yet, but it is overwhelming to reflect on all the changes my class has experienced since entering UVA. We are the bicentennial class, coming in after the 2019 NCAA Men’s Basketball National Championship, which I have heard more times than you would expect, strongly influenced the decision of my peers to come. We came in just before the Board approved the “Great and Good: 2030 Plan.” A semester and a half into our time here, right before March Madness, our experience changed fundamentally when the COVID-19 global pandemic hit. Then, the national racial reckoning we experienced in the summer of 2020, then the insurrection on January 6, 2021 and conversations around ‘viewpoint diversity’. As my peers would say, it is going to be a hard day for future students when the APUSH curriculum comes to include this time period.

Importantly, much of the time of classes entering UVA after our first year has been shaped by national conversations around tradition. We have been challenged by one another and what is occurring in society to be inquisitive about traditions we uphold and the moment in society they derived from. I hope you’ll continue to uphold your charge to preserve traditions but stay open to embracing new traditions that current and future students will continue to invent to reflect the historical moment we’re living through.

Throughout my time here, I have noticed momentary glimpses of student engagement with decisions being made in this room. But this year, I have seen more widespread engagement among students with decisions the Board makes. More prominent press coverage of the decisions being made here and the people seated around this very table have definitely contributed to this. To put this in a context that picks up on the great conversation we had about Student Self Governance: the example of governance in this room can be a model for our engagement in the system of Student Self Governance. I hope you will all take seriously the immense opportunity we all have to lead by example by holding ourselves to values we are entrusted to protect—honor, integrity, civility and diversity in all of its forms. I have been encouraged by members, past and present, who have mentored me throughout my time in this role and inspired me to hold myself to these high standards.

I have greatly appreciated this immense opportunity to be of service to my fellow students and to this institution. Debbie and Susan, I thank you for always welcoming me into the office, always having snacks and providing your listening ears and encouragement. To my most recent predecessors, Sarita Mehta, Mazzen Shalaby, and Derrick Wang, I thank you all for providing your wisdom during difficult moments and reminders to enjoy the experience throughout my term. Thank you to Logan Smith, my counterpart at UVA-Wise, with whom I have worked closely to increase the partnership between the two campuses.

And to you all, the Board, and senior administrators, thank you for patience, kindness, and overwhelming support throughout my time. I have great appreciation for each of you for the support and guidance you have provided throughout the year. I am especially grateful that you all entrusted me with the responsibility to represent my peers. Though I will never claim to have done this job perfectly, or even as well as I hoped to, I thank you all for allowing me to complete the first part of my journey here at UVA. I have greatly enjoyed the chance to get to know each of you and will stay in touch with you.

Finally, to the next student member, I hope that you will continue to serve the student body with your background and experiences shaping the way you represent the voices and perspectives of our fellow students to this Board. This responsibility is quite the undertaking and may overwhelm you at times. You may not always handle every situation as well as you hope to or be able to make everyone happy along the way, but I hope that you will be gracious with yourself and foster many new relationships along the way. I want to impart this last piece of advice to you: please do not forget to make sure you take time for yourself and your own needs: sleeping, eating, taking the necessary steps in your classrooms to finish the degree you came here for. Remarks by the Faculty Senate Chair

Professor Tish Jennings spoke about the statement on free speech, the process for selecting a faculty representative to the Board, gun violence concerns of faculty, the Strategic Research Infrastructure Initiative, and a recently launched faculty salary study. She ended with a statement on civil discourse in the pursuit of inclusive excellence. The statement is as follows:


The UVA faculty is committed to fostering an environment of civil discourse as we strive for inclusive excellence based in our values of diversity, equity, and inclusion. We feel that this is especially important at this university because we have a long history of exclusion. We believe that open and respectful communication is essential to creating a welcoming and inclusive community where all individuals can thrive. We are dedicated to engaging in conversations that embrace diverse perspectives and opinions, and to actively seeking out and valuing the voices of those who may hold different viewpoints than our own. We acknowledge that civil discourse is not always easy, but we believe that it is necessary to build understanding and empathy among individuals with differing backgrounds and experiences. We aim to listen with an open mind, speak with respect, and approach every conversation with a willingness to learn and grow.

Total fundraising progress for the University of Virginia and its related foundations was $337,514,692 through January 31, 2023. Gifts and Commitments to the School of Medicine, School of Law, School of Nursing, School of Education and Human Development, Alumni Association, School of Architecture, School of Engineering and Applied Science, University Libraries, Fralin Museum of Art, Miller Center, Jeffersonian Grounds, Center for Politics, Women’s Center, School of Continuing and Professional Studies, and Blandy Experimental Farm, State Arboretum of Virginia saw increases over the previous fiscal year.

Closed Session


At 3:19 p.m., Mr. Wetmore read the closed session motion, and after approving the motion, the voting members present and the faculty and student representatives to the Board met in closed session. James E. Ryan, Ian B. Baucom, Jennifer Wagner Davis, K. Craig Kent, M.D., Susan G. Harris, Clifton Iler, Chief Timothy J. Longo, David Martel, Margaret Grundy Noland, Debra D. Rinker, and Coke Stewart (Attorney General’s office) also participated in the closed session.


I move that the Board of Visitors go into Closed Session to consult with legal counsel and receive legal advice about specific legal and regulatory matters including potential and actual litigation and investigations where discussion in an open meeting could affect the negotiating posture of the University; to receive a briefing from law enforcement officials about actions taken to respond to threats to public safety; to discuss and consider elections, appointments, promotions, salaries, resignations, and retirements of specific officers and employees; and to discuss appointments of faculty and student representatives to the Board of Visitors for the 2023-2024 academic year. The relevant exemptions are Sections 2.2‐3711 A (1), (2), (7), (8), and (19) of the Code of Virginia.


At 4:20 p.m., the Board resumed in open session, and, on motion by Mr. Wetmore, which was duly seconded, certified that the deliberations in closed session had been conducted in accordance with the exemptions permitted by the Virginia Freedom of Information Act. 3. PROPERTY DISPOSITION OF UVA CATON MERCHANT HOUSE ASSISTED LIVING

(approved by the Health System Board on March 2, 2023 and by the Finance Committee on March 3, 2023)


WHEREAS, UVA Community Health, Inc., a wholly owned subsidiary of The Rector and Visitors of the University of Virginia (University of Virginia), is the sole owner of UVA Prince William Health System, which in turn is the sole owner of UVA Health Caton Merchant Assisted Living (Caton Merchant House), an assisted living facility located at 9201 Portner Avenue, Manassas, VA 20110; and


WHEREAS, the University of Virginia and UVA Community Health have determined that it would be in the best interest of UVA Community Health, Caton Merchant House, and the surrounding community, for UVA Community Health to transfer Caton Merchant House to a third party for continued operation as an assisted living facility;


RESOLVED, the Board of Visitors hereby authorizes the Executive Vice President and Chief Operating Officer and her designees to take all actions necessary to finalize the transaction that will convey Caton Merchant House to a selected senior living organization under substantially the same terms of that letter of intent between UVA Community Health

and the selected organization dated December 19, 2022, including to execute all deeds,

documents, and agreements deemed necessary and appropriate to approve and consummate the foregoing, to approve such reasonable and customary expenses, if any, as may have been or may be incurred by UVA Community Health, and to take such other actions as are deemed necessary and appropriate in connection with the foregoing, all on behalf of the University of Virginia, UVA Community Health, Caton Merchant House, UVA Prince William Health System, and/or any other controlled affiliated of UVA Community Health, as applicable; and

WHEREAS, in December 2022, the Board of Visitors approved the Frank M. Sands Sr. (MBA ’63) Hotel at Darden and Conference Center for Lifelong Learning as the formal name of the redeveloped hotel at the Darden School of Business, in recognition of Mr. Sands’ transformational gift in support of the Darden School; and


WHEREAS, Mr. Sands made the gift in honor of his late wife, lifelong educator Marjorie R, Sands;


RESOLVED, the Board of Visitors approves Frank M. Sands Sr. (MBA ’63) and Marjorie R. Sands Hotel at Darden and Conference Center for Lifelong Learning as the revised formal name of the hotel; and

7. NAMING OF THE CARL MASON FRANKLIN FOOTBRIDGE AT THE DARDEN ARBORETUM

WHEREAS, Larry Franklin is a visiting professor at the Darden School of Business; and


WHEREAS, Mr. Franklin has been a generous supporter of the Darden School and has established and contributed to various endowed scholarships and fellowships; and


WHEREAS, Mr. Franklin’s father, Carl Franklin, was a 1948 alum of the UVA Law School, had a long, prestigious career in legal education, and was also a donor to the Law School; and


WHEREAS, the Darden School seeks to recognize Mr. Franklin’s philanthropy and his wish to honor his father by naming a bridge in the Darden Arboretum;


RESOLVED, the Board of Visitors approves the naming of the Carl Mason Franklin Footbridge; and

8. DEMOLITION OF COMMUNICATIONS SHED AT ZEHMER HALL

WHEREAS, agency 207, building # 0206 (the “Structure”) has reached the end of its useful life and due to size, age, and location, re-purposing for another use is not a viable solution; and


WHEREAS, pursuant to the Management Agreement, dated November 15, 2005, by and between the Commonwealth of Virginia and The Rector and Visitors of the University of Virginia, as amended, and subject to review by the Art and Architectural Review Board and the Department of Historic Resources and compliance with such general laws as may be applicable, the Board of Visitors is authorized to approve the demolition of buildings;


RESOLVED, the demolition of the Structure is approved by the Board of Visitors, pending approval by the Art and Architectural Review Board and the Department of Historic Resources and compliance with such general laws as may be applicable; and


RESOLVED FURTHER, the Executive Vice President and Chief Operating Officer is authorized, on behalf of the University, to approve and execute such documents and to take such other actions as deemed necessary and appropriate in connection with the demolition of the Structure; and

WHEREAS, Agency 246, building # 8337 (the “Structure”) has reached the end of its useful life, and due to age and condition, renovation is not an economically viable alternative; and


WHEREAS, pursuant to the Management Agreement, dated November 15, 2005, by and between the Commonwealth of Virginia and The Rector and Visitors of the University of Virginia, as amended, and subject to review by the Art and Architectural Review Board and the Department of Historic Resources and compliance with such general laws as may be applicable, the Board of Visitors is authorized to approve the demolition of buildings;

10. BICENTENNIAL PROFESSORSHIP IN POLITICS

WHEREAS, Mr. Andrew McKnight and other donors and members of the Advisory Board of the Center for Politics had the vision to create an endowed professorship within the College and Graduate School of Arts & Sciences’ Department of Politics with direct linkage to the Center for Politics; and


WHEREAS, the purpose was to create a permanent endowment to allow the College and the Center to have the financial resources to attract and retain top academic talent in Politics and to cement a partnership among the College and Graduate School of Arts & Sciences, the Department of Politics, and the Center for Politics, for generations to come;


RESOLVED, the Board of Visitors establishes the Bicentennial Professorship in Politics in the College and Graduate School of Arts & Sciences’ Department of Politics; and


RESOLVED FURTHER, the Board of Visitors and the University offer profound thanks on behalf of the College and Graduate School of Arts & Sciences, the Department of Politics, and the Center for Politics, to Mr. Andrew McKnight and all donors to the Bicentennial Professorship in Politics, for this important gift as well as their many other contributions of time, talent, and resources to the University.


11. NEW DEGREE PROGRAM: BACHELOR OF SCIENCE IN DATA SCIENCE IN THE SCHOOL OF DATA SCIENCE

RESOLVED, subject to approval by the State Council of Higher Education for Virginia, the Bachelor of Science in Data Science is established in the School of Data Science.



12. UNIVERSITY OF VIRGINIA ENROLLMENT PROJECTIONS – THROUGH ACADEMIC YEAR 2029-2030

(approved by the Academic and Student Life Committee on March 2, 2023)


WHEREAS, the State Council of Higher Education for Virginia requires that a six-year enrollment projection be submitted every two years by public institutions of higher education to assist in statewide enrollment planning efforts; and


WHEREAS, the University’s existing enrollment plan, approved by the Board of Visitors in March 2021, must be updated to reflect projected undergraduate and graduate enrollment levels through academic year 2029-2030;


RESOLVED, the Executive Vice President and Provost is authorized to continue to implement plans with the State Council of Higher Education for Virginia as outlined in the table below.




13. DIVESTMENT OF THE CENTER FOR POLITICS QUASI-ENDOWMENTS

(approved by the Finance Committee on March 3, 2023)


WHEREAS, the timeline for the Center for Politics Project will require funds over the next 30 months with the largest funding source being the Center for Politics Building Expansion Quasi-Endowment and Unrestricted Quasi-Endowment; and 

 

WHEREAS, the two quasi endowments currently have a market value of over  
$7M and $3.8M, respectively; and  

 

WHEREAS, the Board of Visitors approves any quasi-endowment action above $5M; and

 

WHEREAS, the divestment of these quasi-endowments is necessary to ensure successful financing of The Center for Politics Building Expansion;

 

RESOLVED, The Center for Politics is approved to divest its quasi-endowment accounts (GF002073 and GF002631) over the next 30 months, as needed, with the earliest divestment occurring as of June 30, 2023. 


14. SIGNATORY AUTHORITY FOR CONTRACT TO PROVIDE COMPREHENSIVE HEALTH INSURANCE PLAN FOR STUDENTS ENROLLED AT THE UNIVERSITY IN

COMMENDING RESOLUTION FOR VICE PRESIDENT AND CHIEF INFORMATION OFFICER VIRGINIA EVANS


WHEREAS, Virginia Evans is a 1984 alumna of the University of North Carolina at Chapel Hill, having earned a Bachelor of Science degree in Business Administration with a concentration in Accounting; and

WHEREAS, after working for Arthur Anderson & Co. following her graduation from UNC, Ms. Evans found her way to Charlottesville, where she worked for a small accounting firm before taking her first position at the University as a programmer analyst and budget analyst in 1986; and


WHEREAS, Ms. Evans left Charlottesville for several years to do consulting work with Andersen Consulting and develop coding and project management skills then returned to Charlottesville and earned a Master of Science degree in Management Information Systems from the McIntire School in 1994; and


WHEREAS, Ms. Evans took a job as a process support team member in the UVA Medical Center (1994-95), and went on to serve the University as assistant to the vice president and chief information officer (1995), chief operating officer of information technology and communication (1995-99), technical lead for the Integrated Systems Project (1999-2000), executive assistant to the vice president for finance (2001-2003), assistant vice president for integrated system development and support (2003-11), associate vice president for ITS (2011-14), and chief information officer (2014-2020), and vice president and chief information officer (2020-2022); and


WHEREAS, during her years of employment, Ms. Evans has been a collaborative partner and major contributor to initiatives that sustain and advance the University such as the adoption of new cloud-based technology platforms that enable UVA to continually and seamlessly update systems for users across Grounds from email, office, and classroom software, and collaboration tools to human resources and finance systems; an ongoing project to bring courses across 10 of the University’s 12 schools onto a single learning management system; enterprise-wide programs including identify management, a data warehouse, the student information system, document imaging, and mass communication platforms; custom applications and consulting services including website hosting and design; classroom multi-media support, a pan-University IT help desk, and managing a program for partners across Grounds to provide desktop computing support to faculty and staff; and


WHEREAS, Ms. Evans served critical leadership roles in managing the University’s response to a nation-state cyberattack in 2015 and, in spring 2020, quickly shifting 4,200 in-person classes to online format due to the COVID-19 pandemic; and

WHEREAS, Ms. Evans has assembled and supported a strong team in information technology services and information security, and has built a foundation for collaborative work with partners across the University; and


WHEREAS, Ms. Evans’ team is positioned to carry on the excellent work they have done together while she transitions to retirement; and


WHEREAS, the Finance Committee of the Board of Visitors is grateful for Ms. Evans’ expertise and the thoughtful approach she has brought to her work throughout her years at the University;


RESOLVED, the Finance Committee of the Board of Visitors commends Virginia Evans for her devoted service to the University, respects her as a valued colleague, and wishes her success and happiness in all her future endeavors.
